As a Legal Counsel, you will draft, review, and negotiate procurement and commercial contracts in the UAE, ensuring compliance with UAE laws and regulations while enabling efficient sourcing and supplier relationships.

• Draft, review, and negotiate procurement- and operations-related agreements, including:
• Supplier and vendor agreements
• Supply and distribution agreements
• Service and outsourcing contracts
• Framework agreements, MSAs, SLAs, NDAs, and amendments

• Ensure contracts accurately reflect operational requirements, pricing structures, service levels, delivery timelines, and performance obligations.
• Partner closely with Procurement, Operations, Supply Chain, and Finance teams to support sourcing initiatives, tenders, and vendor onboarding.
• Provide practical legal advice on contractual risk allocation, including liability, indemnities, penalties, termination rights, and dispute resolution.
• Support negotiations with local and international suppliers to enable timely and compliant procurement decisions.

• Ensure procurement and operational contracts comply with UAE laws and regulations, including Competition Law, E‑Commerce Law, and PDPL.
• Advice on regulatory developments impacting suppliers, logistics, distribution, and operational activities.

• Identify, assess, and mitigate legal and commercial risks arising from procurement and operational contracts.
• Support the development and maintenance of standard procurement templates, clause libraries, and negotiation playbooks.
• Contribute to improving contract lifecycle management, efficiency, and consistency across operations.
• Proactively flag legal risks that could impact cost, continuity of supply, or operational performance.

• Provide day‑to‑day legal support on operational and commercial matters.
• Conduct legal research related to procurement, operations, and commercial law to support decision‑making.
• Act as a business‑oriented legal partner, balancing risk management with operational speed and scalability.

• 2 to 4 years of commercial legal drafting experience in a fast‑paced environment.
• Bachelor’s or Master’s Degree in Law.
