What You'll Be DoingAs a Legal Counsel, you will draft, review, and negotiate procurement and commercial contracts in the UAE, ensuring compliance with UAE laws and regulations while enabling efficient sourcing and supplier relationships.
Your Responsibilities Will Include The Below Commercial & Procurement Contracts- Draft, review, and negotiate procurement- and operations-related agreements, including:
- Supplier and vendor agreements
- Supply and distribution agreements
- Service and outsourcing contracts
- Framework agreements, MSAs, SLAs, NDAs, and amendments
- Ensure contracts accurately reflect operational requirements, pricing structures, service levels, delivery timelines, and performance obligations.
- Partner closely with Procurement, Operations, Supply Chain, and Finance teams to support sourcing initiatives, tenders, and vendor onboarding.
- Provide practical legal advice on contractual risk allocation, including liability, indemnities, penalties, termination rights, and dispute resolution.
- Support negotiations with local and international suppliers to enable timely and compliant procurement decisions.
- Ensure procurement and operational contracts comply with UAE laws and regulations, including Competition Law, E‑Commerce Law, and PDPL.
- Advice on regulatory developments impacting suppliers, logistics, distribution, and operational activities.
- Identify, assess, and mitigate legal and commercial risks arising from procurement and operational contracts.
- Support the development and maintenance of standard procurement templates, clause libraries, and negotiation playbooks.
- Contribute to improving contract lifecycle management, efficiency, and consistency across operations.
- Proactively flag legal risks that could impact cost, continuity of supply, or operational performance.
- Provide day‑to‑day legal support on operational and commercial matters.
- Conduct legal research related to procurement, operations, and commercial law to support decision‑making.
- Act as a business‑oriented legal partner, balancing risk management with operational speed and scalability.
- 2 to 4 years of commercial legal drafting experience in a fast‑paced environment.
- Bachelor’s or Master’s Degree in Law.
