AboutThe Role
We are seeking a Legal Counsel to support commercial contracting activities across the Americas. In this role, you will partner with Sales, Finance, Product, and other cross-functional stakeholders to draft, negotiate, and manage a wide range of commercial agreements, with a primary focus on software licensing and services contracts. This is a fast-paced, global environment with collaboration across international teams. This is a hybrid in-office position based in Boston, MA or Detroit, MI.
WhatYou’ll Do
- Own and manage commercial contracting for our Americas Sales teams, including software license agreements, services agreements, NDAs, partner agreements, and related negotiations
- Provide practical, business-oriented legal guidance to internal stakeholders on commercial and contractual matters
- Develop, improve, and maintain compliant, scalable contracting processes and templates
- Collaborate cross-functionally with teams such as Finance, Product, and Sales Operations on related initiatives (e.g., product documentation review, deal support, policy alignment)
- Assist in drafting, reviewing, and updating internal policies, standard agreements, and playbooks
- Support additional legal projects and regions as needed, depending on experience and business needs
- 3–8 years of legal experience, with at least 2 years focused on transactional or commercial legal work (on the sales and/or vendor side)
- Active member in good standing of a U.S. state bar
- Proven experience working with global or multinational teams and stakeholders
- Strong background in commercial contracting; experience in the software/SaaS industry and/or at an international company is highly desirable
- Familiarity with or strong interest in open-source software licensing
- Ability to understand and translate technical concepts into clear legal guidance
- Interest in driving process improvements and leveraging tools or technology to enhance efficiency
- Comfortable working independently, managing multiple priorities, and meeting deadlines in a dynamic environment
- Flexible and collaborative mindset, with the ability to work across multiple time zones
- Additional legal experience (e.g., employment, compliance, product, privacy) is a plus
- Knowledge of foreign languages is an advantage
- Relevant certifications (e.g., CIPP-US) are a plus
- Experience with government contracting, public sector sales, or government procurement processes
