Overview

Intelex Technologies, ULC ()—a Fortive operating company ()—is seeking candidates for its Sr. Corporate Counsel position. Intelex’s global headquarters are located in Toronto, Ontario with remote employees based in the US, India, and Brazil. The successful candidate will join the Legal Team in a remote/hybrid capacity in either a US city (Eastern/Central time zones preferred) or Toronto, ON.
The Sr. Corporate Counsel will contribute to the continued growth of Intelex’s international SaaS and technology services businesses by overseeing Intelex’s commercial contracting function, agreement drafting and negotiations, contract administration functions, and other commercial/compliance issues arising in Intelex’s day-to-day business. The Sr. Corporate Counsel will support the General Counsel in other areas, including Labor/Employment law and technology law matters.
Commercial & Strategic Legal Leadership
- Lead the negotiation, drafting, and execution of complex commercial agreements including MSAs, SaaS agreements, licensing deals, NDAs, reseller/distributor agreements, RFQs, government contracts, and strategic alliances.
- Serve as a legal advisor to Sales, Revenue Operations, and Customer Success teams, ensuring smooth onboarding and support of SaaS customers.
- Develop and maintain scalable legal frameworks for commercial transactions, including templates, clause libraries, and playbooks.
Product & Engineering Support
- Partner with Product and Engineering teams to advise on legal and licensing aspects of new product development, launches, and integrations.
- Ensure compliance with IP, data privacy, and regulatory requirements across product offerings.
Process Optimization & Technology Enablement
- Own and enhance the commercial legal operations function, including contract lifecycle management (CLM) platforms (e.g., Ironclad) and AI-assisted contract review tools.
- Establish and track key legal metrics, SLAs, and risk indicators to support business growth and governance.
Leadership & Succession Development
- Act as a strategic thought partner to the General Counsel and executive leadership team.
- Lead cross-functional legal initiatives and represent Legal in strategic planning forums.
- Prepare to assume broader legal leadership responsibilities as directed by General Counsel
Qualifications
- J.D. degree and active license to practice law in Canada or the U.S.
- Minimum 5 years of experience in commercial/transactional law, with significant in-house experience in SaaS or technology companies.
- Demonstrated expertise in negotiating complex technology agreements and supporting enterprise sales cycles.
- Strong familiarity with CLM platforms (e.g. Ironclad); and AI tools for legal operations.
- Exceptional contract drafting, communication, and stakeholder management skills.
- Experience in employment law, data privacy, or corporate governance is a strong asset.
- Proven leadership capabilities and interest in executive legal roles.
