ROLE OVERVIEW
The Legal Associate & Company Secretary will oversee corporate legal affairs, regulatory compliance, and company secretarial functions for Corporate Advisors Limited. The role combines both transactional legal support and statutory compliance responsibilities, ensuring adherence to legal, regulatory, and governance standards while supporting the firm's business advisory and project execution activities.
The ideal candidate should demonstrate sound legal judgment, attention to detail, and the ability to work independently across multi-jurisdictional transactions.
KEY RESPONSIBILITIES
Legal & Transactional Support
Draft, review, and negotiate commercial agreements, NDAs, MoUs, term sheets, consultancy agreements, and engagement letters.
Support in legal documentation for financial, infrastructure, and PPP projects.
Conduct legal due diligence and assist in transaction structuring and compliance.
Coordinate with external legal counsel, clients, and institutional partners.
Maintain standardised templates and legal document repositories.
Company Secretarial, Compliance, & Securities
Manage all statutory and regulatory filings under the Companies Act, 2013.
Draft board and shareholders' resolutions, maintain minutes, and update statutory registers.
Ensure compliance with RBI, FEMA, SEBI, and other relevant regulatory frameworks.
Prepare and file annual returns, financial statements, and event-based filings with the MCA.
Liaise with auditors and consultants for company secretarial matters.
Advise management on governance practices and corporate law developments.
SKILLS & QUALIFICATIONS
Educational Qualification : LLB and Company Secretary (CS) – mandatory combination.
Experience : 2–4 years in corporate legal, merchant banking and secretarial functions.
Solid understanding of company law, commercial contracts, and regulatory compliance.
Experience in IPO processes, capital markets, and financial analysis tools.
Understanding of securities laws, SEBI guidelines, and listing procedures.
Strong drafting and communication skills.
Proficiency in MS Office (Word, Excel, PowerPoint).
Organised, detail-oriented, and able to manage multiple priorities in a dynamic environment.
High level of integrity, confidentiality, and professional ethics.
