Legal Counsel

Overview

We are looking for a highly motivated licensed attorney to join our legal team as Legal Counsel to support our General Counsel in managing the legal affairs of a dynamic technology company. You will provide strategic legal advice, ensure compliance with federal and state laws, draft complex agreements, and contribute to merger and acquisition projects in a fast-paced, corporate environment with a people-first culture.

• Draft, review, and negotiate contracts including SaaS agreements, software licenses, service agreements, nondisclosure agreements, vendor agreements, and employment contracts.
• Ensure contracts comply with applicable laws and regulations, align with company policies, and mitigate risk.
• Advise internal stakeholders on the legal aspects of SaaS transactions and technology-related contracts in collaboration with the General Counsel.
• Provide employment law guidance on employee relations, workplace policies, and terminations to ensure compliance with labor laws.
• Monitor legislative and regulatory changes that may impact operations and advise on necessary adjustments.
• Contribute to developing and implementing internal policies and procedures related to contract management, regulatory compliance, and employment law, offering day-to-day legal advice to internal teams.
• Be a collaborative member of the legal team and contribute where needed to accomplish tasks and solve problems.

• Juris Doctor (JD) from an accredited law school.
• Admission to and in good standing with the Texas state bar.
• Minimum of 2-3 years of experience as an attorney in a corporate legal department or law firm.
• Large firm experience is a plus.
• Strong knowledge of contract law, corporate governance, intellectual property, and related areas of law.
• Knowledge of technology law, SaaS industry standards, mergers and acquisitions, and employment law is a plus.
• Strong legal research and analytical skills.
• Ability to think strategically and collaborate with cross-functional teams to achieve results.
• Excellent written and verbal communication, high attention to detail, and strong organizational skills.
• Ability to manage multiple tasks and prioritize effectively.
• Experience with contract management software is a plus.
• Ability to maintain confidentiality and perform under tight deadlines; energized by problem solving.
• Ability and willingness to travel up to 20%.
• Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).

Candidate must reside in Dallas or within a commutable distance from our Dallas office, as this is not a remote role. Axxess does not provide relocation assistance.
