Tax Manager - Dallas, TX | Wise Foods

Arca Continental USA (parent company for Wise Foods) seeks a Tax Manager to ensure U.S. Snacks and Vending businesses meet all federal, state, and local tax obligations in full compliance with applicable laws. The role safeguards the company's financial integrity by preventing regulatory exposure, avoiding penalties, and aligning tax outcomes with overall business objectives.

Location: Dallas, TX – Hybrid work location.

Key Responsibilities

Tax Compliance Management

  • Prepare (internally and/or with third‑party support), review, and file timely and accurate federal, state, and local tax returns (income, franchise, sales & use, excise, property, and payroll).
  • Coordinate with controllers and finance teams to gather and validate tax data.
  • Oversee estimated tax payments and extensions to ensure proper cash planning.
  • Maintain a compliance calendar to track all filing deadlines and obligations.
  • Manage interactions with tax authorities, including audits and notices, to resolve matters effectively and minimize exposure.

Tax Provision (ASC 740)

  • Calculate (internally and/or with third‑party support), quarterly and annual income tax provisions in accordance with US GAAP.
  • Prepare and review deferred tax balances and assess uncertain tax positions.
  • Ensure proper documentation to support tax disclosures in the financial statements.
  • Coordinate with external auditors to provide required schedules, explanations, and reconciliations.

Tax Planning & Optimization

  • Identify opportunities for credits, deductions, and incentives that reduce tax liabilities.
  • Recommend efficient structures for transactions and contracts to achieve tax optimization.
  • Monitor changes in legislation and assess implications for the business.
  • Collaborate with the Global Corporate Tax team on cross‑border, transfer pricing, and group restructuring matters.
  • Evaluate and mitigate tax risks, escalating critical issues to senior leadership.

Strengthen Tax Processes, Systems, and Governance

  • Review and streamline tax compliance processes to reduce risk and improve accuracy.
  • Evaluate outsourcing vs. in‑house approaches to ensure the right balance of cost and control.
  • Collaborate with Finance and IT to leverage ERP systems and explore specialized tax technology.
  • Establish standardized procedures, documentation, and internal controls aligned with company policies and SOX requirements (where applicable).
  • Maintain a tax risk register and propose mitigation measures to leadership.

Collaborate with Business Units and Advise Leadership

  • Partner with controllers and finance teams to ensure accuracy in tax accounting and reconciliations.
  • Provide tax guidance for new initiatives, contracts, and operational decisions.
  • Support CFO and business leadership with analysis of tax impacts on financial performance.
  • Coordinate with HR/Payroll teams to ensure compliance with employment taxes.
  • Recommend training, knowledge sharing, and development initiatives for Controllers and Finance teams to build tax awareness across the business.

Support Mergers, Acquisitions, and Post‑Merger Integration

  • Conduct tax due diligence (internally and/or with third‑party support) to identify risks, exposures, and opportunities in potential acquisitions.
  • Advise on transaction structuring to achieve tax efficiency and compliance with U.S. federal and state regulations.
  • Coordinate with external advisors, corporate tax, and legal teams during deal execution.
  • Ensure integration of acquired entities into the company’s tax compliance and reporting processes.
  • Monitor ongoing post‑merger tax obligations and synergies to deliver long‑term value.

Legal Counsel

  • Partners on transaction structuring, M&A, and controversy management where legal and tax considerations overlap.
Education & Experience Requirements
  • Bachelor's Degree in Accounting or Finance/Tax.
  • Master's Degree in Accounting or Finance/Tax (preferred).
  • Certified Public Accountant's License (preferred).
  • 2 years of General Accounting.
  • 5+ years of Tax Compliance – preparation of tax returns.
