Part-Time In-House Legal Counsel / Head of Legal for an Acquisitive Industrial Group Parent with some Family-Office support requirement. (UK, SME Investments) – (Fractional role 60%,

Flowmax Ltd is the parent of a privately owned group with investors which include family and institutions.

Location – Hybrid fractional (60%) role with some on-site time in Coventry and other Group locations as needed. Hours can be flexible around 10am-3pm to meet personal needs.

To provide comprehensive legal support to the Parent Company of the group, from time to time to the family office, and occasionally the portfolio of SME investments, ensuring compliance, mitigating risk, and enabling strategic growth.

Reporting to the Group CEO & Chair.

• UK-qualified solicitor (England & Wales)
• Minimum 7–10 years PQE (Post-Qualification Experience)
• Live within an hour's commute of Coventry
• Background in corporate/commercial law;
• Exposure to employment and property law is advantageous

• Draft, review, and negotiate shareholder agreements, investment agreements, and commercial contracts
• Advise on corporate governance and Companies Act compliance
• Support restructuring, mergers, acquisitions, and disposals of SMEs
• Ensure compliance with UK company law, FCA regulations, and GDPR
• Manage disputes and liaise with external counsel
• Advise on employment contracts and property transactions
• Develop standard templates and processes for contracts
• Select and manage relationships with law firms for specialist advice
