Overview
As an Associate Attorney in our client's Corporate group, you’ll play an instrumental role in:
- Structuring and executing corporate transactions, mergers and acquisitions, entity formation, governance, and contract drafting
- Supporting post-closing M&A dispute resolution across the country
- Reviewing underwriting risk assessments tied to transaction risk insurance
- Engaging with RWI matters, analyzing policy terms, transaction schedules, financials, and disclosures to identify and mitigate liability risks
You will collaborate with seasoned attorneys, valuation experts, and forensic accounting professionals, providing incisive legal and financial guidance in complex environments.
Responsibilities- Draft and review corporate and transaction documents, including acquisition agreements, contracts, and governance materials
- Analyze buyer- and seller-side RWI policies, disclosure schedules, financial statements, and diligence reports to counsel on liability exposure and policy enforcement
- Support underwriting counsel in policy drafting, risk assessment, and claims monitoring
- Assist in post-closing insurance claim evaluation, coverage disputes, and litigation support
- Conduct legal and financial analyses in highly regulated industries (e.g., banking), assessing regulatory controls and compliance risks
- Collaborate with internal teams and external valuation and audit professionals to assess loss exposure and advise clients during underwriting or claim resolution
- Juris Doctor (JD) with active bar admission
- 2–4 years of experience in corporate and transactional law
- Demonstrable academic excellence and top-tier legal communication skills
- Background or education in Accounting or Finance (e.g., undergrad degree, CPA, CFA)
- Hands-on experience with M&A transactions or post-closing dispute resolution
- Strong legal analysis capabilities and familiarity with compliance frameworks
