As Counsel for Technology and Managed Services, you will provide advice, counsel, and legal support in respect of managed services and other technology services and products to EY clients, focusing on advising, drafting, updating and negotiating legal terms for complex, multi‑year agreements, focusing on outsourcing, systems implementation, application development, software licenses, SaaS, AI, big data, analytics, and cloud computing.

You will be part of EY’s Technology & Managed Services legal group, working closely with other GCO groups in the United States and abroad, and supporting senior members. The role requires experience in supplier‑side technology and outsourcing transactional legal work and managing multiple priorities.

Key Responsibilities
  • Drafting, updating, and negotiating client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk, and staying current with legal developments.
  • Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
  • Collaborating with US GCO members and local counsel in other EY member firms.
  • Coordinating legal resources on managed services projects.
  • Supporting coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as needed.
  • Advising on the accuracy and sufficiency of contractual documentation to protect EY interests.
  • Understanding existing EY policies and developing/enhancing policies and guidance relevant to managed services and other technology services.
  • Managing workflow in a dynamic environment, remaining responsive, reliable, communicative, and accountable.
  • Building relationships within GCO, Legal Practice Groups, to deliver exceptional client service.
  • Developing and delivering training on Technology & Managed Services Agreements and knowledge sharing.
To qualify, candidates must have
  • 4+ years of complex services and technology‑related transactional experience, drafting and negotiating Technology & Managed Services Agreements.
  • Experience developing contracting templates, playbooks, and standards.
  • Experience in data privacy, intellectual property law, and technology in the context of Technology & Managed Services Agreements.
  • Experience with cross‑border contracting (auto‑transfer laws, local country agreements, and cross‑border data transfer).
  • Ability to understand, assess, and negotiate terms for current and new technologies (cloud, AI) and explain related legal and business risks.
  • Excellent communication skills, both oral and written.
  • Excellent negotiation and interpersonal skills.
  • High cultural and emotional intelligence and resilience, flexibility, and adaptability.
  • Ability to work independently and collaborate across functions and locations.
  • Ability to articulate complex legal and contractual principles, balancing risk from legal and commercial perspectives.
  • Highly responsive, managing high workload volumes and competing priorities efficiently.
  • Solution oriented with focus on exceptional client service.
  • Experience leading negotiations in a managed services counsel role in a technology or consulting organization.
  • Bachelor’s degree from an accredited 4‑year college.
  • Juris Doctor from an accredited law school.
  • Membership in a State Bar, in good standing, and current on continuing legal education requirements.
