We are seeking a Senior Counsel to join our Commercial Center of Excellence within the UL Solutions Legal Department. This role is a strategic partner to our global business teams, providing practical, business‑oriented legal advice on commercial transactions and related matters. You will play a key role in supporting UL Solutions’ core testing, inspection, and certification businesses, driving process improvements, and enabling growth in a dynamic, international environment.
Responsibilities- Contracting:
Negotiate and draft a wide range of commercial agreements, including master services agreements, terms and conditions, confidentiality agreements, and related documentation. - Business Partnership:
Serve as a trusted advisor to business leaders, delivering clear, actionable guidance on commercial and operational issues. - Process Optimization:
Lead initiatives to streamline contracting processes, develop playbooks, and enhance contract lifecycle management (CLM) tools. - Risk Management:
Identify and mitigate legal and operational risks in new and existing service offerings; provide pragmatic solutions aligned with business objectives. - Cross‑Functional
Collaboration:
Work closely with global stakeholders to implement best practices and ensure compliance with internal policies and applicable laws. - Continuous Improvement:
Contribute to legal department projects, policy development, and operational enhancements.
- Education:
JD from an accredited law school; active state bar membership. - Experience:
Minimum 5 years of relevant legal experience, with strong background in commercial contracting.
- Exceptional drafting and negotiation skills.
- Ability to communicate complex legal concepts in clear, concise, business‑friendly language.
- Strong organizational skills; adept at handling multiple priorities for multiple stakeholders.
- Collaborative mindset with high emotional intelligence and cultural awareness.
- Business mindset; continually learning the business and its needs and delivering agile legal support that advances business goals.

- Prior in‑house experience, particularly in services or technology sectors.
- Familiarity with CLM systems (Ironclad preferred).
- Experience developing contract playbooks and/or operationalizing policies.
- Knowledge of data privacy/security regulations and/or government contracting.
- Exposure to M&A due diligence and integration of acquisitions.
- Comfort with engineering or scientific concepts.
- Interest in and experience using AI tools, particularly for legal practice.
We understand compensation is an important factor as you consider the next step in your career. The estimated salary range for this position is $170,000 to $200,000, based on multiple factors including job‑related knowledge/skills, experience and geographical location. This position is eligible for annual bonus compensation with a target payout of 20% of the base salary. It also provides health benefits such as medical, dental and vision;
wellness benefits including mental and financial health; and a 401(k) retirement savings plan commensurate with the standard rewards offered in each location. Full‑time employees receive paid time off including 15 days vacation, 12 floating holidays, and 72 hours of sick time.
