Private Equity & M&A Associate; 4th–5th Year

An AmLaw-recognized law firm is seeking a mid-level associate to join its Private Equity practice in Chicago.

This role is well-suited for an associate with strong private equity and M&A experience who is comfortable handling sophisticated transactions and working closely with partners on complex, fast-paced deal work.

The associate will work with partners and senior attorneys on a range of private equity and M&A matters, including buy-side and sell-side transactions, platform investments, add-on acquisitions, and related corporate governance work. The practice offers meaningful responsibility, direct client exposure, and involvement throughout the full lifecycle of transactions.

• 4–5 years of experience in private equity and M&A transactions
• Experience drafting and negotiating purchase and merger agreements
• Familiarity with LLC and LP agreements and ancillary transaction documents
• Strong drafting, analytical, and project-management skills
• High attention to detail and ability to manage multiple deal work streams
• Admitted in Illinois or eligible to waive in
