Counsel, Securities & Corporate Governance

We are seeking an attorney with securities and corporate governance experience to join this growing legal department and report directly to the General Counsel. This position will require a strong knowledge in SEC reporting and public company compliance while partnering with executive leadership to ensure compliance across the organization.

• Oversee disclosure processes and compliance with Reg FD, insider trading policies, and NYSE standards.
• Partner with Finance, Investor Relations, and Communications on compliance matters.
• Coordinate board, committee, and shareholder meetings, including agendas, minutes, and follow-up actions.
• Maintain corporate records and ensure compliance with legal and regulatory requirements.
• Advise on governance best practices and manage board operations (calendars, resolutions, logistics).
• Manage domestic and international subsidiaries, filings, and records.
• Coordinate with outside counsel on global governance requirements.
• Provide legal support for M&A, financing, and other corporate transactions.

• J.D. and Illinois license (or eligible for in-house registration).
• Must have 2+ years of experience in securities and corporate governance law.
• Expertise in SEC regulations, Sarbanes-Oxley, and NYSE rules.
• Strong leadership and communication skills.
