Job Title: Corporate Paralegal
Location: Chicago, IL – 100% on-site, walkable from Union & Ogilvie

Compensation: $65,000 – $75,000 annually + year-end bonus
Work Schedule: Full-time, 9:00 AM – 5:00 PM

About Our Client: Addison Group is hiring for our client, a respected law firm with a long-standing reputation for excellence. The Corporate Paralegal will be responsible for supporting a busy team of attorneys with a focus on corporate governance, entity management, and compliance. This role requires exceptional attention to detail, organizational skills, and the ability to manage high-volume filings while collaborating with attorneys and other legal staff.
Key Responsibilities- Draft and file incorporation documents, bylaws, board resolutions, and other corporate records
- Prepare and file annual reports (1,500–1,700 per year) with accuracy and timeliness
- Maintain corporate minute books and manage entity compliance across multiple jurisdictions
- Assist with mergers, acquisitions, dissolutions, and related transactions
- Support due diligence efforts and prepare closing binders
- Coordinate and manage compliance calendars for corporate governance obligations
- Assist with SEC filings (for public companies) as needed
- Utilize document management systems (iManage) and databases effectively
- Minimum 3 years of corporate paralegal experience required
- Proficiency with iManage or similar document management systems
- Strong knowledge of corporate governance, entity filings, and compliance processes
- Experience filing large volumes of annual reports and maintaining corporate records
- Comfort working with Excel, databases, and legal technology platforms
- Strong written and verbal communication skills with the ability to support multiple attorneys
- High attention to detail, organizational ability, and time management skills
- Supporting 10–15 attorneys in collaboration with another paralegal
