The Opportunity

As Counsel for Technology and Managed Services, you will provide legal advice and support for EY clients on the provision of managed services and technology products. Your focus will be on drafting, updating, and negotiating complex, multi‑year agreements covering outsourcing, systems implementation, application development, software licenses, SaaS, AI, big data, analytics, and cloud computing.

You will work within EY’s Technology and Managed Services legal group, collaborating closely with Global Counsel’s Office (GCO) and other EY member firms.

Key Responsibilities
  • Draft, update, and negotiate client‑facing Technology & Managed Services Agreements, including advising on contractual strategy, risk, and relevant legal developments.
  • Advise on key legal risks associated with the technology underlying Managed Services Agreements.
  • Collaborate with other US GCO members and local counsel in EY member firms to coordinate legal resources and support projects.
  • Liaise with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as needed.
  • Ensure contractual documentation accurately reflects and protects EY’s interests.
  • Develop and enhance policies and guidance related to managed services and technology products.
  • Manage workflow in a dynamic environment while remaining responsive, reliable, and communicative.
  • Build relationships with GCO members and other legal practice groups to deliver exceptional client service.
  • Design and deliver training on Technology & Managed Services Agreements and share best practices across the network.
Qualifications
  • Minimum 4 years of complex services and technology transactional experience in a client‑facing role.
  • Experience drafting and negotiating Technology & Managed Services Agreements with clients, internal counsel, and procurement.
  • Experience developing contracting templates, playbooks, and standards.
  • Background in data privacy, intellectual property law, and technology contracting.
  • Experience with cross‑border contracting (including employee matters such as auto‑transfer laws).
  • Ability to assess terms for current and emerging technologies (cloud, AI) and explain related risks.
  • Excellent oral and written communication skills.
  • Strong negotiation and interpersonal skills.
  • High cultural and emotional intelligence with resilience and adaptability.
  • Capacity to work independently and as part of a diverse, geographically dispersed team.
  • Strong analytical skills for balancing legal and commercial risk.
  • High responsiveness and ability to manage high workloads and competing priorities.
  • Solution‑oriented focus on exceptional client service.
  • Experience in a managed services counsel role in a technology or consulting organization.
  • Bachelor’s degree from an accredited 4‑year college.
  • Juris Doctor from an accredited law school.
  • Membership in a State Bar and good standing (current CLE requirements met).
