Position: Fund Formation & Investment Management Associate

Location: Miami, FL or Chicago, IL

Experience: 4-6 years

We are representing a dynamic and fast-growing Corporate Practice seeking a mid-level associate to join their fund formation and investment management team. This is an excellent opportunity for an attorney with 4-6 years of experience to assist private equity, venture capital, and hedge fund managers in forming, structuring, and managing investment funds and related legal matters.

• Assist with the formation and structuring of private equity, venture capital, and hedge funds.
• Represent clients in side letter negotiations and advise on investment opportunities.
• Manage fundraising processes and ensure compliance with ongoing regulatory requirements.
• Provide legal counsel on the day-to-day needs of fund managers and investors.
• Collaborate on tax, securities laws, and fund economics.

• 4-6 years of experience in a large law firm setting, with a focus on fund formation and investment adviser work.
• Strong academic credentials with excellent written and verbal communication skills.
• Ability to work independently, take on responsibility, and manage multiple tasks in a fast-paced environment.
• Knowledge of tax and securities laws, particularly as they apply to private funds.
• Basic understanding of fund economics and willingness to learn.
• Must be admitted or eligible for admission to practice in the jurisdiction of application.

Compensation: Base Salary Range: $250,000 – $320,000/year (based on experience and location). Discretionary bonuses may also apply.
