Full time hybrid opening for a Governance Analyst. Seeking experience wiith
10-K, 10-Q etc.
The Senior SEC/Governance Analyst reports to the Vice President, Chief SEC Counsel & Corporate Secretary and supports a wide range of SEC reporting, corporate governance, and subsidiary management activities. This role independently manages key compliance processes, assists with equity and debt transactions, and supports all matters related to the Board of Directors and its committees. The Analyst may also serve as Assistant Secretary for designated subsidiaries.
Support preparation and filing of SEC reports, including Forms 10-K, 10-Q, 11-K, Section 16 filings, and registration statements (S-3, S-8).
Assist with proxy statement preparation, D&O questionnaires, and annual meeting activities.
Manage the insider trading window preclearance process.
Assist with beneficial ownership reporting and compliance with executive and director stock ownership guidelines.
Corporate GovernanceSupport development and maintenance of corporate governance documents, including charters, guidelines, and Board materials.
Assist with research on governance trends and best practices.
Prepare Board and committee agendas, minutes, resolutions, and meeting materials.
Help manage the Diligent board portal and Corporate Vault.
Financings & TransactionsSupport due diligence, document preparation, and closing processes for equity and debt financings.
Subsidiary & NYSE ComplianceMaintain subsidiary records and manage annual filings, entity documentation, and governance compliance.
Manage the subsidiary database and coordinate information requests.
Assist with compliance obligations under NYSE listing standards, including affirmations and notices.
OtherProvide additional support and take on projects as assigned by the Corporate Secretary or SEC Counsel.
QualificationsEducation & Experience
Minimum 8 years of relevant experience in SEC/securities law, corporate governance, corporate secretary functions, and subsidiary management for public companies; must include at least 3 years of in-house experience.
Strong legal research, writing, and project management skills.
Exceptional organizational skills and attention to detail.
Ability to manage multiple projects in a fast-paced environment.
Advanced proficiency with MS Office, Workiva, Diligent, NYSE Listing Manager, and (preferred) CT Corporation’s hCue database.
Professional and effective communication skills; able to interact with executives and Board members.
