Department: Corporate Compliance
Reports to:
Group Finance Controller
We are looking for an experienced Compliance Specialist to manage end-to-end corporate secretarial, governance, and legal compliance functions across jurisdictions. This role plays a critical part in safeguarding the organization’s interests while enabling sustainable business growth.
Key Responsibilities
Corporate Compliance & Secretarial
Manage statutory compliances, filings, and returns under the Companies Act and other applicable regulations
Oversee Board & Committee meetings, resolutions, director matters, and investor compliances
Ensure strong corporate governance across multi-jurisdictional entities
Cross-functional & External Coordination
Collaborate with internal stakeholders, regulators, and external advisors
Support corporate restructuring and secretarial transition initiatives
Contract Management
Draft, review, negotiate, and manage commercial & non-commercial agreements, MOUs, notices, and legal documents
Handle execution, renewals, amendments, and closures of contracts
Support business teams in vendor, client, and customer negotiations while mitigating legal risks
Litigation, Dispute Management & Legal Advisory
Liaise with external legal counsels and maintain litigation MIS
Act as the SPOC for all legal and compliance queries
Provide strategic legal advice, conduct legal research, and support due diligence
Governance, Insurance & Compliance Optimization
Administer enterprise risk management and insurance portfolios, including claims
Drive compliance efficiency through legal tech and process optimization
Key Stakeholder Interaction
Internal: Finance & Business Teams (compliance, contracts, risk advisory)
External: Legal & Compliance Advisors, Regulators, Authorities
Candidate Profile
Qualification:
Qualified Company Secretary (CS)
Added Advantage: LLB
Experience:
Total: 5–10 years
Relevant:
Minimum 8+ years in corporate compliance / secretarial / legal roles
Strong exposure to multi-jurisdictional compliance preferred
