Direct Hire | $65,000–$100,000 | Onsite with potential 1‑day hybrid flexibility
A highly respected full‑service law firm in Uptown Charlotte is seeking an experienced Corporate Paralegal to join its growing team. This role supports attorneys across corporate governance, mergers and acquisitions, entity management, and general transactional work. The position is open due to an upcoming retirement, providing a smooth transition and strong long‑term stability.
Responsibilities- Prepare and file incorporation and formation documents for new business entities
- Draft organizational documents, board and shareholder consents, and meeting resolutions
- Manage minute books, stock ledgers, and maintenance filings
- Obtain EINs and complete qualification and withdrawal applications across jurisdictions
- Order lien, bankruptcy, and litigation searches and summarize results for attorney review
- Prepare and file amendments, conversions, mergers, and dissolutions
- Coordinate with corporate service vendors and manage registered agent information
- Draft secretary and officer certificates and assist with transactional closings
- Compile signature packages, track dates, organize final agreements, and prepare closing binders
- File UCC financing statements, amendments, and terminations
- Bachelor’s degree or equivalent professional experience
- Minimum of 3 years of paralegal experience supporting corporate or transactional matters in a law firm
- Strong drafting, organization, and communication skills
- Ability to manage multiple active matters and work independently with excellent attention to detail
- Familiarity with corporate governance procedures, deal workflow, and closing logistics
- Regular onsite presence is required to support attorneys and the transactional team
- No billable‑hour requirement at this time
- Eligible for discretionary year‑end bonus consideration
- Monthly parking allowance provided
