We are seeking a highly skilled and motivated individual with 3 to 5 years of experience to serve as Corporate Counsel/Director for a company in Charlotte. The Corporate Counsel will draft and negotiate various corporate and commercial agreements, manage legal risks, provide key internal stakeholders with legal counsel on various matters, and support various business operations. This position requires a deep understanding of corporate law, exceptional analytical skills, and the ability to communicate complex legal concepts clearly to non-legal stakeholders.
The Corporate Counsel will report to the Vice President, Deputy General Counsel.
- Provide practical and actionable legal advice to senior leadership, managers and other key stakeholders on a full range of corporate and commercial related legal matters.
- Draft, review, negotiate and advise on a broad range of complex business and commercial contracts such as franchise agreements, manufacturing and distribution agreements, sales and marketing agreements, sponsorship agreements, service and vendor agreements, and content and brand licensing agreements, among others.
- Advise with respect to a broad range of advertising, marketing and sponsorship matters, including sweepstakes, contests and promotions as well as internet, social media and e-commerce matters.
- Advise with respect to a broad range of intellectual property and technology matters, including contract drafting, review and negotiation, portfolio management, information governance, data security, data privacy and related compliance.
- Support the continuous improvement of legal operations.
- Assist with development, implementation and oversight of a contract management system and other internal systems, policies and protocols.
- Support the Company’s overall legal compliance program.
- Monitor changes to applicable laws, regulations, and enforcement priorities, and develop and implement actionable takeaways.
- Manage external legal counsel and assist with litigation matters, including dispute resolution, claims management, and regulatory investigations.
- Maintain accurate and organized legal records and documentation, including contracts, policies, and legal research materials.
- Ability to move agreements forward quickly in order to meet critical business objectives in a fast-paced, sometimes unpredictable environment.
- Ability to balance competing interests and to demonstrate initiative and a strong work ethic.
- Other duties as assigned.
- Law degree from an accredited U.S. law school.
- Admission and in good standing to at least one state bar
- 3-5 years of legal experience practicing corporate law within a corporate legal department or highly regarded law firm.
