Overview
A leading national insurance organization with a strong market presence in life insurance, annuities, and retirement solutions, backed by decades of stable performance, a diversified product portfolio, and a large, growing customer base. The company is recognized for its financial strength, disciplined risk management, and commitment to long‑term policyholder value. As part of continued expansion, the organization is seeking a highly experienced General Counsel to guide the legal and regulatory strategy for its Life & Annuities business.
Responsibilities
• Serve as the primary legal advisor to executive leadership and the Board on all life and annuity matters.
• Oversee compliance with state insurance laws, including product approvals, policy form filings, and regulatory reporting.
• Manage interactions with state Departments of Insurance regarding product filings, actuarial documentation, and statutory requirements.
• Lead legal review and negotiation of distribution agreements, reinsurance treaties, IMOs/FMOs, vendor contracts, and strategic partnerships.
• Advise on product development, including life insurance and annuity contract forms, riders, disclosures, and suitability/Best Interest requirements.
• Oversee litigation, complaints, market conduct exams, and regulatory inquiries.
• Support corporate governance and enterprise risk management frameworks for life and annuity operations.
• Build, lead, and develop the legal and compliance team supporting life, annuity, and retirement product lines.
Qualifications
• Juris Doctor (JD) from an accredited law school.
• Active license to practice law in the United States.
• Minimum 10 years of legal experience, with substantial experience in life insurance, annuities, and state regulatory compliance.
• Strong understanding of life and annuity product structures, NAIC regulatory frameworks, Best Interest/suitability rules, and distribution oversight.
• Experience managing regulator interactions, market conduct reviews, and complex contract matters.
• Excellent leadership, analytical, and communication skills.
