General Counsel

Job Description

As General Counsel, Corporate Governance and Securities at Honeywell, you will provide strategic legal advice and guidance across a diverse range of critical legal matters.

Your role will include ensuring compliance with securities and corporate governance laws, developing and implementing best practices and risk mitigation strategies, and supporting critical business initiatives at the corporate level.

You will report directly to our Deputy General Counsel for Corporate Transactions, Securities & Governance. You will work out of our Charlotte, North Carolina location on an on‑site work schedule.

Responsibilities

• Direct and provide legal advice related to SEC reports, registration statements and related correspondence.

• Ensure compliance with stock exchange requirements and insider trading laws and policies.

• Oversee corporate governance matters, including legal compliance, preparation of the annual proxy statement and implementation of governance best practices.

• Ensure legal compliance for matters relating to investor relations and shareholder engagement, including associated public disclosure.

• Oversee legal support for corporate bond issuances, credit facilities, equity issuances, share repurchases and other treasury activity.

• Manage a team of paralegals and mentor junior attorneys.

Qualifications

• Juris Doctor (JD) from an accredited law school and active membership in a state bar.

• At least 6 years’ experience at an internationally-recognized law firm providing legal counsel for corporate governance and securities matters.

• Strong communication and interpersonal skills.

• Ability to work effectively in a fast‑paced and dynamic environment.
