The Contracts Manager is responsible for effective review, negotiation, preparation, and execution of customer contracts, ensuring compliance with company policies, legal regulations, and industry standards. The role requires expert consulting and oversight, maintaining a robust contracts management system, resolving disputes, and coordinating with legal counsel to mitigate risks and protect the company’s interests.
Essential Functions- Contract Review and Negotiation: analyze customer agreements, support negotiations to secure favorable terms, and collaborate with internal stakeholders to mitigate risks.
- Contract Preparation and Execution: draft, review, and finalize agreements, coordinate inputs and approvals, and ensure timely execution and proper documentation.
- Compliance and Oversight: ensure all contracts comply with company policies, provide consulting to internal teams on contract matters, and monitor customer performance against obligations.
- Contracts Management System: maintain and update the system, generate reports on performance and compliance, and implement process improvements.
- Dispute Resolution: address and resolve disputes, and draft settlement agreements in collaboration with legal counsel.
- Coordination with Legal Counsel: collaborate with legal to ensure contracts are sound, seek advice on complex matters, and stay updated on regulatory changes.
- Other Responsibilities:
focus may include commercial, government, or intellectual property contracts, may perform duties as Senior Intellectual Property Leader, or support export compliance.
- Five years of relevant experience in contracts management, contract law, or procurement management, preferably in aerospace or defense.
- In‑depth understanding of contract terms and risk management.
- Proficient in conflict resolution and negotiations.
- Excellent oral and written communication skills.
- BA/BS in Business Administration, Law, or related field.
- U.S. Person status required; U.S. Citizenship required at cleared sites.
- MBA or JD.
- Eight years of relevant experience.
- Certified Purchasing Manager (CPM), Certified Professional Contracts Manager (CPCM), or equivalent certification.
- Standard office environment at a manufacturing facility.
- Work requires substantial visual concentration on detail.
- May use safety equipment such as eye safety glasses, gowning, masks, hearing protectors, heel/wrist straps; may be exposed to loud noises, cold temperatures, confined spaces, dust or fumes.
- Standing 10%;
