This position is located in Carlsbad, California at our corporate headquarters. A hybrid schedule with 2 days in the office (subject to change) may be available based on productivity and deliverables.

The detail-oriented and highly organized Paralegal will assist the GIA Legal Affairs Department in all facets of the Institute’s legal needs, focusing on contract management and transaction work. This includes assisting with the preparation, review, and negotiation of contracts, plus supporting corporate transactions, commercial disputes, data privacy and data security, and intellectual property matters.
ESSENTIAL DUTIES AND RESPONSIBILITIES- Follow ethical requirements as set forth by the Rules of Professional Conduct of the State, and California Business & Professions Code.
- Exercise discretion and independent judgment, maintaining confidentiality and professionalism.
- Draft, review, revise, and negotiate commercial contracts (customer and vendor agreements, master service agreements, statements of work, license agreements, leases, NDAs, and related forms).
- Conduct legal research on contract law, regulations, and industry requirements.
- Maintain and organize contract databases and filing systems; support contract administration.
- Manage the contract lifecycle from onboarding to execution and management; liaise with outside counsel as needed.
- Coordinate information and commercial terms from internal stakeholders for contract preparation.
- Track deadlines, renewal dates, and milestones; review contracts for necessary provisions.
- Review and audit signature authority on contracts and documents.
- Proofread and edit documents; assist in certain litigation and intellectual property matters as needed.
- Assist with internal process improvements and coordinate travel, meetings, calendars, and expenses.
- Communicate effectively with colleagues; provide accurate and complete work products.
- Identify relevant legal authorities and monitor new laws and regulations.
- Train staff on corporate policies and department procedures.
- Perform other duties as assigned and maintain confidentiality at all times.
- Demonstrate problem-solving, organization, project management, and the ability to work with diverse stakeholders.
- Paralegal certificate from an ABA-approved program required. Bachelor’s degree preferred.
- 3 to 5 years of relevant legal experience in a law firm or corporate legal department; or equivalent.
- Working knowledge of contract, corporate, litigation, and intellectual property law.
- Experience with a Contract Management System is preferred.
- $74,000 - $96,000 annually
