Senior SEC/Governance Analyst
Our client, a leading water and wastewater utility serving millions of customers nationwide, is seeking a Senior SEC/Governance Analyst. This critical role will be based at their corporate headquarters in Camden, NJ, but will enjoy a hybrid working arrangement.

- Independently handle or support SEC and corporate governance matters, including compliance processes for SEC and Section 16 filings
- Assist with equity and debt financing transactions, including due diligence and closing documentation
- Manage insider trading window preclearance process and beneficial ownership reporting
- Support preparation and filing of registration statements, proxy statements, and annual meeting materials
- Oversee subsidiary management activities and maintain compliance with corporate legal requirements
- Assist with NYSE listing compliance, including affirmations and officer listing changes
- Provide governance support for the Board of Directors and its committees, including agendas, minutes, resolutions, and board portal management
- Other responsibilities as assigned by the Corporate Secretary or SEC Counsel
- Bachelor’s degree plus Paralegal certification or equivalent (CCGP preferred)
- Minimum of eight years of experience in SEC/securities, corporate governance, and corporate secretary matters for public companies (in-house experience required)
- Strong legal research and writing skills
- Advanced proficiency in MS Office Suite, Diligent Board Books, Workiva, and NYSE Listing Manager; familiarity with CT Corporation’s hCue database preferred
- Exceptional organizational and project management skills with ability to manage multiple priorities in a fast-paced environment
- Ability to interact effectively with all levels of the organization, including board members and executive leadership
- Flexible, proactive, and a team player with superior attention to detail
