Senior SEC/Governance Analyst

Our client, a leading water and wastewater utility serving millions of customers nationwide, is seeking a Senior SEC/Governance Analyst. This critical role will be based at their corporate headquarters in Camden, NJ, but will enjoy a hybrid working arrangement.

What you’ll do:
  • Independently handle or support SEC and corporate governance matters, including compliance processes for SEC and Section 16 filings
  • Assist with equity and debt financing transactions, including due diligence and closing documentation
  • Manage insider trading window preclearance process and beneficial ownership reporting
  • Support preparation and filing of registration statements, proxy statements, and annual meeting materials
  • Oversee subsidiary management activities and maintain compliance with corporate legal requirements
  • Assist with NYSE listing compliance, including affirmations and officer listing changes
  • Provide governance support for the Board of Directors and its committees, including agendas, minutes, resolutions, and board portal management
  • Other responsibilities as assigned by the Corporate Secretary or SEC Counsel
What you will need:
  • Bachelor’s degree plus Paralegal certification or equivalent (CCGP preferred)
  • Minimum of eight years of experience in SEC/securities, corporate governance, and corporate secretary matters for public companies (in-house experience required)
  • Strong legal research and writing skills
  • Advanced proficiency in MS Office Suite, Diligent Board Books, Workiva, and NYSE Listing Manager; familiarity with CT Corporation’s hCue database preferred
  • Exceptional organizational and project management skills with ability to manage multiple priorities in a fast-paced environment
  • Ability to interact effectively with all levels of the organization, including board members and executive leadership
  • Flexible, proactive, and a team player with superior attention to detail
