Attorney​/Lawyer

Description We are looking for a skilled Attorney/Lawyer to join our team in Buffalo, New York. In this role, you will provide expert counsel on corporate and commercial law matters, ensuring compliance with legal standards while delivering tailored solutions to clients. This position offers an excellent opportunity to work on diverse legal issues, including mergers and acquisitions, contract negotiations, and business formation.

Responsibilities:

- Provide legal advice and support to clients on corporate law matters, including mergers and acquisitions, commercial transactions, and business formation.

- Draft, review, and revise various legal documents, such as shareholder agreements, operating agreements, and commercial contracts.

- Collaborate with the team to address complex legal challenges and deliver comprehensive solutions to clients.

- Conduct legal research to stay updated on corporate law developments and provide informed recommendations.

- Ensure corporate policies and procedures adhere to government regulations, industry standards, and ethical practices.

- Negotiate and finalize agreements related to financing, mergers, and acquisitions.

- Assist in evaluating and improving compliance programs for clients.

- Support clients in managing risks and navigating legal complexities in their business operations. Requirements - Juris Doctor (J.D.) degree from an accredited law school.

- A minimum of 2-3 years of relevant experience in corporate law, mergers and acquisitions, and commercial transactions.

- Exceptional written and verbal communication skills.

- Strong technical knowledge in corporate legal practices and procedures.

- Proven ability to work collaboratively within a team environment.

- Solid understanding of shareholder agreements, entity formation, and contract law.

- High level of professionalism and attention to detail.

- Ability to manage multiple priorities and meet deadlines effectively.
