Assistant Company Secretary & Governance Officer
The Role
We’re looking for an experienced Assistant Company Secretary & Governance Officer to join our fantastic Co‑Sec & Legal team in Bristol. You’ll be a critical member of the Co‑Sec and Legal team, responsible for day‑to‑day company secretarial and governance duties. This role involves frequent interaction across our PLC Board, with the Chair, Executive and Non‑Executive Directors and across the business, ensuring we meet corporate governance obligations as a premium listed FTSE company.
WhatYou’ll Be Doing
- Help drive an effective FTSE listed PLC with best‑practice governance and administration.
- Lead key co‑sec areas: secretariat for various Board Committees (Audit & Risk, Health & Safety, Sustainability), technical PLC regulations such as Total Voting Rights, PDMR, and Block Listings.
- Implementation of our scrip scheme and maintenance of statutory registers, MAR compliance and relationship with the Registrar.
- Support co‑sec aspects of M&A and corporate activity, AGM.
- Provide general co‑sec and governance support for a FTSE listed PLC.
- Drive co‑sec compliance for subsidiaries, including Companies House filings for the PLC and Group companies.
- Collaborate with internal teams and external parties on co‑sec and governance activities.
- Incorporate new entities, strike off companies, and dissolve partnerships.
- Maintain group structure charts and subsidiary statutory registers.
- Prepare group minutes where required for corporate/business activity.
- Collaborate with the People team on administration of share schemes (LTIP and SAYE).
- Support the Remuneration Committee on shareholder remuneration consultations.
- Support on key corporate and co‑sec policies & training (anti‑bribery compliance, share dealing, whistleblowing).
- Support on the Annual Report (Corporate Governance & Board Committee reports).
- Support on board training covering corporate governance developments.
- Previous experience in a company
****** secretarial role, ideally in a listed company (not essential). - Strong IT literacy, including a working knowledge of co‑sec administration software and Microsoft Office applications.
- Ability to manage own time effectively, prioritise taskshoa дз.
