Our client, a premier top-20 AmLaw global law firm, seeks a motivated mid-level Associate Attorney to join its Capital Markets & Public Mergers and Acquisitions (M&A) practice with a focus on the real estate sector.

This role offers the opportunity to advise public companies on sophisticated capital markets and M&A matters, including equity and debt offerings and ongoing public company obligations. The position provides broad exposure to high-impact transactions and strategic counseling within a collaborative, top-tier environment.

Candidate Profile
  • JD from a top-tier law school with an excellent academic record
  • Active Bar Admission in the relevant jurisdiction, in good standing
  • 3-5 years of substantive experience in public company practice, capital markets, and public M&A transactions
  • Prior experience at an AmLaw 100 or similarly sophisticated firm strongly preferred
  • Strong background in handling equity and debt capital markets transactions, both registered and unregistered
  • Expertise in securities law compliance, disclosure obligations, and corporate governance matters
  • Prior experience advising public REITs or familiarity with the REIT sector preferred but not required
  • Excellent drafting, analytical, and communication skills with the ability to manage multiple matters in a fast-paced environment
  • Demonstrated ability to work collaboratively within deal teams while independently managing key components of transactions
Key Responsibilities
  • Advise public companies on equity and debt capital markets transactions, including registered and unregistered offerings
  • Counsel listed companies on ongoing disclosure obligations, securities law compliance, and corporate governance matters
  • Support public M&A transactions, including transaction structuring, diligence, and regulatory considerations
  • Draft and review offering documents, SEC filings, and related transaction materials
  • Collaborate with colleagues across real estate, M&A, tax, and finance practices to deliver integrated legal solutions
  • Engage directly with clients and contribute to long-term client relationships

Compensation & Benefits
  • Competitive Compensation: Expected annual base salary is $260,000-$365,000, as determined by experience, qualifications, and market factors
