• JD from a top-tier law school with an excellent academic record
• Active Bar Admission in the relevant jurisdiction, in good standing
• 3–6 years of substantive experience in intellectual property and commercial transactions
• Demonstrated experience structuring, drafting, and negotiating agreements such as licensing, development, distribution, services, and strategic partnering
• Background advising on IP aspects of mergers and acquisitions (M&A), financing transactions, and public offerings
• Technical or science background beneficial, but not required
• Strong communication, drafting, and interpersonal skills
• Entrepreneurial, self-motivated, and able to manage multiple work streams in a fast-paced environment

• Structure, draft, and negotiate a wide range of IP and commercial agreements, including licensing, development, distribution, service, and collaboration deals
• Advise clients on intellectual property matters relating to M&A, venture financings, and public offerings
• Support technology companies on transactional, operational, and strategic IP issues across all phases of growth
• Collaborate with cross‑disciplinary teams, including corporate, privacy, regulatory, and litigation colleagues, to provide comprehensive client support
• Develop client relationships and contribute to the growth of an established and dynamic national practice

• Competitive Salary: $260,000 – $390,000, commensurate with experience
• Discretionary merit bonus eligibility
