Role Summary

Hub Spot’s Legal team is a proactive, business-enabling partner—not a back-office function. We help our teams move fast, smart, and responsibly. Legal plays a critical role in balancing innovation with rigor—helping Hub Spot scale responsibly while maintaining trust, compliance, and clarity.

We’re hiring a Director, Corporate Legal to lead Hub Spot’s global securities, and governance function. You’ll serve as a senior legal advisor on public-company reporting and corporate governance ensuring precision, integrity, and business alignment.

This role blends rigor with pragmatism. You’ll be accountable for the accuracy, completeness, and integrity of our disclosures and governance practices—while staying grounded in the realities of a fast-moving, AI-native company. Reporting to the VP, Deputy General Counsel, you’ll partner closely with our Board of Directors, executive leadership, Finance, Accounting, and Investor Relations, and support effective governance and Board operations.

What You’ll Do
  • Excel in Public-Company Reporting
    • Oversee SEC and other public-company reporting compliance, including 10-K, 10-Q, 8-K, proxy statements, and disclosure controls.
    • Partner with Finance and Investor Relations to ensure reporting accuracy and cohesive market messaging.
    • Guide teams through earnings cycles and regulatory events with clarity and confidence.
    • Manage Hub Spot’s insider-trading and executive-ownership programs, including Section 16 filings and Rule 10b5-1 plan oversight.
    • Lead advisor on executive compensation governance and disclosure.
    • Ensure the integrity and continuous improvement of disclosure processes and controls.
  • Uplevel Board Interactions and Corporate Governance
    • Serve as the lead supporter for our Board and committees—managing materials preparation, minutes, meeting timing and cadence and clear information flow.
    • Lead advisor on public company governance, partnering with our Board leadership to support the continued evolution of our public company governance.
    • Advise on director independence, charters, policies, and insider-trading compliance.
    • Support governance and compensation stakeholder engagements, including proxy advisors and stockholders, and annual-meeting logistics with Finance and Investor Relations.
  • Build and Scale the Corporate Legal Function for an AI-First Future
    • Design an operating mode for governance and securities that leverages AI, automation, intelligent workflows, and self-service tools to streamline governance support.
    • Structure, mentor, and evolve the team to match Hub Spot’s growth—ensuring depth in key specialties while maintaining flexibility and speed.
    • Create tools, templates, and playbooks that make complex processes simple and repeatable across the company.
    • Foster a high-performing, inclusive team where curiosity, agility, and ownership are the norm—and Legal is seen as a growth enabler.
  • What You’ll Bring

    Required Qualifications
    • 10+ years of corporate and securities law experience at public companies and/or top law firms (or equivalent experience). Four of those years must have been at a mid-cap or larger public company working with disclosure, the Corporate Secretary’s function, and corporate governance.
    • Deep expertise in ’34 Act reporting, Section 16 compliance, Rule 10b5-1 plans, and corporate-governance best practices.
    • Experience advising Boards and executive teams in a high-growth, global environment.
    • Ability to translate complex regulatory requirements into practical, business-ready solutions.
    • Strong systems mindset with experience building scalable, repeatable governance processes.
    • Proven experience leading and developing high-performing, inclusive legal teams.
    • JD and active bar membership.
