JW Michaels is engaged with a MAJOR Fin Tech client in the CIT (Collective Investment Trust) space looking to add legal leadership to their team. Our Client is a leading independent provider of trust and administrative services to CITs. They provide complementary technology and services to retirement plan stakeholders, including advisors, consultants, and recordkeepers.

ROLE SUMMARY

Reporting to the Chief Legal Officer, this position will serve as primary lawyer for technology and data products/services, enterprise technology, commercial transactions, and U.S. content/data privacy matters. This player/coach position requires both strategic advising and handling daily legal requirements.

KEY RESPONSIBILITIES

Product/Platform Support:

• Partner with executives on strategic planning and key initiatives
• Advise product, engineering, sales, and operations teams throughout product life cycles
• Draft and negotiate foundational agreements and disclosures
• Guide go-to-market activities and develop creative legal solutions
• Draft/negotiate commercial agreements (NDAs, SaaS, PaaS, data sharing, etc.)
• Support business units on transactions and key initiatives
• Manage disputes and litigation matters
• Assist with workflow design and technology implementation

Legal & Governance:

• Design and streamline policies, templates, and playbooks
• Ensure compliance with contractual commitments and regulations
• Identify emerging risks and trends
• Foster accountability and continuous improvement

REQUIRED QUALIFICATIONS (must be a MATCH):

• J.D. with admission to at least one state bar
• 8-15 years relevant experience (law firm and in-house combination preferred)
• Fintech/technology company experience (high-growth fintech preferred)
• Experience with complex commercial agreements (SaaS, DaaS, PaaS, etc.)
• Expertise in information security, U.S. privacy laws, IP, and marketing regulations
• Strategic thinker with outstanding communication and negotiation skills
• Ability to thrive in fast-paced environment and navigate ambiguity
