Position

Summary

We are seeking a project finance attorney to support transactions for our growing portfolio of solar PV and battery energy storage projects. This role requires an attorney who has proven expertise in complex financing deals and is able to immediately contribute to deal diligence, documentation, execution and compliance, while effectively coordinating with internal stakeholders and external legal advisors. This is a (6) six‑month contract position with a potential to extend to (12) twelve months.

About

the Role

The attorney will support the structuring, diligence, documentation, and execution of tax equity and debt financings for a portfolio of commercial‑ and industrial‑scale distributed generation solar PV and battery energy storage projects, generally ranging from over 1 MW up to approximately 20 MW per site. The role will include both single‑asset and portfolio‑level transactions, spanning multiple jurisdictions. These financings are highly structured and interconnected, frequently involving multiple financing platforms concurrently, including tax equity, equipment financings, construction facilities, and term debt.

The attorney will work with internal investment and portfolio management teams to coordinate and supervise transactions; understand, explain and execute on negotiated risk positions; ensure consistency of positions across financing platforms; adhere to transaction timelines; and promote the cost‑effective use of external legal resources.

Job Responsibilities
  • Support corporate and project financing transactions, including:
    • Tax equity financings.
    • Construction, term, and portfolio‑level debt financings.
    • Refinancings, amendments, and related credit facility matters.
  • Conduct and manage legal due diligence in connection with financing transactions, including:
    • Reviewing project, commercial, real estate and interconnection documentation.
    • Identifying key legal risks and issues relevant to financing and investment decisions.
  • Draft, review, and negotiate:
    • Financing term sheets, commitment letters, and definitive transaction documentation.
    • Ancillary agreements, including security, guarantee, and intercreditor documents.
  • Collaborate closely with senior management, portfolio management, investments, development, and asset management teams to:
    • Support transaction structuring and execution.
    • Align legal strategy with commercial objectives, governance requirements and execution timelines.
  • Assist in the preparation of internal approval materials, including:
    • Transaction structure summaries.
    • Key diligence findings, legal risks, and proposed mitigants.
    • Confirmation that financing transactions are properly authorized and documented in accordance with corporate governance requirements.
  • Provide practical legal advice on:
    • Project development and commercial issues impacting financial closings.
    • Broader corporate and transactional matters related to project finance.
Experience and Education Requirements
  • J.D. from an accredited law school and active bar membership.
  • Minimum of 3 years of experience supporting corporate, project finance, or other complex financing transactions.
  • Experience in the renewable energy industry – specifically with IPPs or developers is preferred.
  • Experience with financing‑related legal diligence and transactional documentation.
  • Familiarity with debt and/or tax equity financings, particularly in the energy, infrastructure, or renewables sector.
  • Exposure to portfolio‑level or multi‑asset transactions is helpful.
  • Strong analytical, drafting, organizational, and communication skills.
  • Ability to manage multiple matters in a fast‑paced, deadline‑driven environment and work effectively as part of a multidisciplinary deal team.
