Position: Associate Attorney (Corporate and Healthcare)

Position Overview

Burrill Poole PLLC is seeking a Corporate Law Associate (2–5 years’ experience) to join our Corporate and Healthcare practice. The ideal candidate will support contract review and transactional matters, provide thoughtful legal analysis to healthcare and private equity clients, and work closely with partners and senior associates across a broad range of corporate and healthcare engagements. This role is well-suited for an attorney looking to build strong transactional skills, gain exposure to sophisticated matters, and grow into increased responsibility within a collaborative, fast-paced practice.

Key Responsibilities
  • Legal Counseling:
    Provide comprehensive legal support to healthcare and private equity sectors on a wide range of corporate and healthcare law matters, including but not limited to mergers and acquisitions, corporate governance, compliance, securities, contracts, business transactions, regulatory compliance, healthcare transactions, medical malpractice, and healthcare privacy, under the guidance of senior attorneys.
  • Contract Review and Drafting:
    Reviewing and drafting various contracts, agreements, and legal documents, including purchase agreements, shareholder agreements, employment contracts, agreements with healthcare vendors, insurance providers, and corporate policies.
  • Corporate Transactions:
    Assist in various transactions, such as mergers, acquisitions, divestitures, and joint ventures. Support transaction execution by preparing documents, coordinating deal workflows, and assisting with legal analysis and client communications.
  • Due Diligence:
    Conduct due diligence for corporate and healthcare transactions, including reviewing contracts, regulatory compliance materials, governance documents, and other transactional records. Identify potential legal risks and summarize findings for senior attorneys and clients.
  • Corporate Governance:
    Support senior attorneys in advising clients on corporate governance matters, including entity formation, board and shareholder matters, and governance best practices.
  • Regulatory Compliance:
    Assist clients in understanding and adhering to federal, state, and local healthcare regulations and laws, such as HIPAA, Stark Law, Anti-Kickback Statute, and FDA Regulations.
  • Legal Research:
    Conduct legal research on corporate, healthcare, and regulatory issues and prepare memoranda and analyses to support client advice and transactional decision-making.
  • Litigation & Dispute Support:
    Provide litigation support in select matters, including governance matters, employment disputes, commercial liability, medical malpractice, insurance coverage, and administrative hearings.
  • Client and Internal

    Collaboration:

    Work collaboratively with firm attorneys, internal counsel, and clients to ensure timely, accurate, and professional delivery of legal work products. Communicate clearly and effectively to support client service and team objectives.
Qualifications
  • Juris Doctor (J.D.) degree from an accredited U.S. law school
  • Admission to any U.S. state bar and ability to obtain additional admissions as required
  • 2-5 years of relevant experience practicing law in a firm or in-house legal department
  • Demonstrated ability to independently manage matters and client relationships
  • Experience with healthcare law, corporate transactions, or private equity-backed clients strongly preferred
  • Strong analytical, communication, research, and organizational skills
  • Client-focused mindset with sound business judgment
  • Ability to travel as required

Work Location:

This is an in-person position based in Birmingham, Alabama. Employee is expected to work primarily from the Birmingham office, with travel to client locations as required.
