As a Paralegal, you will support the General Counsel across legal operations, corporate governance, and regulatory compliance activities. Working within a small in-house legal team, the role is focused on execution, coordination, documentation, and process management. You will be a key operational partner to the General Counsel, ensuring that legal, corporate, and compliance obligations are supported efficiently and accurately.
What you’ll do- Own and independently manage all corporate resolutions and entity administration matters, including drafting, circulation, execution, tracking, and maintenance of resolutions, director appointments or changes, statutory registers, and corporate filings, with responsibility for accuracy, completeness, and compliance.
- Assist the General Counsel with the preparation, administration, and maintenance of contracts and standard legal templates.
- Manage contract lifecycle processes, including tracking execution, renewals, amendments, and terminations.
- Maintain structured and up-to-date legal files, contract repositories, and document management systems.
- Independently manage KYC onboarding and due diligence for B2B partners, including collection, review, and organisation of required documentation.
- Perform sanctions and screening checks in accordance with internal procedures.
- Maintain KYC and regulatory records to ensure they are complete, accurate, and audit-ready.
- Assist with ongoing regulatory monitoring and internal compliance processes under the direction of the General Counsel.
- Prepare and manage documentation for bank account openings, closures, and corporate authorisations.
- Where necessary, support board and committee activities, including coordination of meeting schedules, preparation of agendas and board packs, and collation of supporting materials.
- Maintain accurate and up-to-date corporate records, governance documents, and board materials.
- Act as a central point of coordination between Legal and internal stakeholders (e.g. Finance, Commercial) on routine legal and regulatory matters.
- Liaise with external advisors and service providers on administrative and information-gathering matters as required.
- Drive continuous improvement of legal processes, templates, trackers, and workflows to improve efficiency within a small legal team.
- At least 5 years’ relevant experience, ideally in an in-house legal, company secretarial, or regulated environment, with demonstrable responsibility for corporate governance and entity administration.
- Proactive above all else – you anticipate issues, take action, and follow through without waiting for problems to arise.
- Comfortable operating as the primary owner of routine corporate governance matters, including resolutions, statutory records, and entity administration, while exercising sound judgment on when escalation is required.
- Builds trust quickly by being approachable, accessible, and engaged, actively talking to sales and the rest of the business, joining meetings, and working seamlessly across departments.
- Ability to manage multiple priorities and work independently while escalating issues appropriately.
- Professional communication skills and confidence working closely with senior stakeholders, including board-level participants.
- Highly organised with a high level of attention to detail and accuracy.
- A solutions-focused problem solver who takes ownership and sees issues through to resolution.
- Experienced with contracts, sanctions, and company secretarial matters.
- Comfortable operating in a lean legal function with broad exposure and responsibility.
