Job Description
ABOUT THE POSITION:
We are seeking a motivated Corporate Counsel to join our fast-paced and growing team in the energy storage sector. Based in Bangalore, this role is an integral part of Fluence's Legal Team and serves as a corporate backbone for the company's activities across the Asia-Pacific region.
The position offers a unique blend of corporate legal and secretarial responsibilities, with exposure to commercial contracting, governance, and cross-functional initiatives. It is an individual contributor role, ideal for someone who enjoys both structure and variety, and who wants to make a meaningful contribution to a global organization driving Asia's renewable energy transition.

Key Responsibilities Of This Role Are
Corporate Governance & Secretarial Compliance
Serve as the governance lead for Fluence's Indian entity — ensuring timely filings, maintenance of registers, and consistency of documentation across jurisdictions.
Manage board and shareholder meetings, preparation of minutes, resolutions, statutory registers, and annual filings.
Coordinate statutory audits, filings, and director appointments.
Support board structuring, power of attorney management, and delegation of authority frameworks.
Entity Management
Oversee the corporate records and governance calendar for Fluence's Indian entity.
Manage intercompany documentation, including share issuances, capital infusions, and intercompany loans.
Implement and maintain a centralized entity and compliance management/tracking system to ensure accurate and timely tracking of corporate documents and regulatory filings.
Ensure alignment with HQ governance policies, including subsidiary control, approvals, and internal audits.
Legal & Compliance Support
Draft, review, and negotiate commercial contracts, including NDAs, local procurement contracts, SaaS agreements, and intercompany service arrangements.
Provide regulatory support on licensing, corporate approvals, and registrations.
Provide timely and practical legal advice to internal teams, ensuring alignment with company policies and risk appetite.
Support ongoing legal and compliance projects such as process improvements, template rollouts, and technology adoption (including our AI-based legal tool for contract review).
Assist in compliance training and policy rollout across the APAC region.
Support internal stakeholders on data protection, ethics, and corporate conduct matters.
Lead or co-lead smaller projects and process enhancements within the legal function.
Stakeholder Management
Work closely with the Senior Legal Counsel, General Counsel (APAC), Finance, and Tax teams to implement governance and compliance controls.
Liaise with external counsel, auditors, and regulatory bodies.
Act as a trusted advisor to business and functional leaders, balancing commercial needs with compliance imperatives.
About You

You have a law degree (LL.B) and are a registered Company Secretary (member of the ICSI);
You have a solid corporate background with a minimum of 3-5 years of experience, ideally within a multinational corporation or a reputable law firm. You understand what a dynamic organisation expects of its legal team and excel in such environments. You may need to travel sometimes.
You have demonstrated experience managing corporate governance matters.
You have a strong understanding of Indian corporate law and cross-border entity management.
You have excellent communication and stakeholder-management skills, with the ability to operate in a fast-paced international environment.
You are highly organized, with an exceptional attention to detail. You have the ability to manage different priorities while always staying focused on the bigger goal.
You have impeccable ethics and a commitment to compliance and safety. (We don't make jokes about compliance or safety.)
You are based in Bangalore. We have a fancy office here that we'd love you to help fill for at least 4 days a week.
