The Legal Counsel will own and drive Dozee's legal strategy and execution across jurisdictions. This role involves managing contracts through to execution, regulatory compliance, corporate governance, intellectual property filings and safeguarding, coordination with external counsels and cross-border matters while proactively enabling business teams with pragmatic legal support. The ideal candidate will bring a problem-solving mindset and comfort with both strategy and execution, ensuring business operations are fully enabled under complete legal safeguarding.

Responsibilities

Contracts & Commercial Support:
Draft and review various types of commercial contracts with hospitals, vendors, distributors, and strategic partners (India + US).
Lead and support swift closure of contract review and negotiation calls with hospitals, vendors, distributors, and strategic partners (India + US).
Support entity structuring, inter-company arrangements, and cross-border operations between holding company and subsidiary.
Build and maintain standard contract templates and approval workflows for consistency and scalability.
Support pricing, IP, liability, confidentiality and indemnity discussions to protect Dozee's interests while enabling business closure.
IP, Regulatory & Compliance:
Oversee intellectual property filings, safeguarding, and management across jurisdictions; liaise with external counsel to ensure timely registrations/renewals of IP.
Ensure compliance with applicable healthcare (AKS, Stark law, Physician Payments Sunshine Act), data protection (HIPAA, HITECH, DPDP Act), and medical device regulations in both India and the US.
Liaise and regularly follow up with external counsel and certification bodies for review of contracts, specialized advisory and ongoing compliance and registrations and provide actionable guidance to internal teams.
Stay updated and educate internal teams on evolving regulatory frameworks impacting SaaS, Med Tech, and cross-border data flows.
Corporate & Governance:
Support corporate secretarial responsibilities, board governance, and policy documentation for India and US entities.
Lead legal due diligence processes for fundraising, partnerships, and strategic transactions.
Coordinate and provide legal/admin support to Investors and the Board through transaction completion.
Risk Management & Internal Processes
Proactively identify legal risks across operations and design mitigants and internal controls.
Develop internal policies (e.g., data protection, whistle blower, code of conduct) aligned with legal and ethical standards.
Advise on go-to-market structures including pilots, lease/lease-to-own, revenue share, and outcome-based pricing models across India and the US.
Advise on any ongoing disputes, pre-litigation matters, regulatory inquires.
Support insurance reviews (D&O, professional liability, cyber insurance) and claims management.
Provide training and legal awareness to internal teams, especially in sales, operations, and customer success.
Establish and maintain a centralized contract repository; ensure all documents are issued only post‑legal review, enforce accuracy in representations with no false assurances, and strengthen internal approval workflows.

Requirements

Experience:

4 - 6 years of legal experience, ideally with exposure to healthcare/SaaS/technology/startups. Mandatory prior experience in in‑house legal teams or law firms (corporate team).

Qualification:

LLB or equivalent degree; LLM or Company Secretary is a plus
Strong contract drafting and negotiation skills.
