We are a fast-growing gaming studio building immersive experiences for a global audience. With strong growth, international presence, and exciting product launches ahead, we are strengthening our corporate governance and legal and compliance framework. In this context, we are looking for an Assistant Company Secretary (CS) to support the secretarial function, including assistance in cross-border subsidiary compliance and co-ordination.
Key Responsibilities / What You'll Do ::
Corporate Governance & Board Support
Assist in convening Board, Committee and General meetings for Holding and Subsidiary companies.
Draft agenda, minutes, and resolutions, and ensure timely filings with regulatory authorities for all the entities.
Draft Board's report and annexures and support in preparation of Annual Report
Maintain statutory registers and records
Compliance and Regulatory Reporting
Handle filings with MCA, SEBI, RBI and FEMA.
Manage foreign subsidiary governance, cross-border compliance, and reporting requirements
Support implementation of insider trading controls, structured digital database, and trading window compliances.
Support administration of ESOP / share-based benefit schemes, if any, including filings and disclosures.
Track changes in laws/regulations impacting the company and assist in compliance implementation.
Skills & Qualifications
Qualified Company Secretary, with 3+ years of experience.
Strong understanding of corporate law, SEBI Listing Regulations, FEMA, and cross-border structures.
Experience working in or with MNC subsidiaries is preferred.
Excellent drafting, communication, and stakeholder management skills.
Proficiency in MCA, stock exchange portals, and compliance tools
Ability to manage multiple stakeholders and timelines
