Company Secretary

Location: Bengaluru

Ensure compliance with the Companies Act, SEBI regulations, listing obligations, and other applicable corporate laws
Act as the principal compliance officer of the company and advise the Board of Directors on legal and regulatory requirements
Prepare, maintain, and update statutory registers, records, and corporate filings
Organize and manage Board Meetings, Committee Meetings, and Annual/Extraordinary General Meetings
Draft agendas, notices, minutes, resolutions, and official correspondence
File annual returns, financial statements, and statutory forms with the Registrar of Companies (ROC) and other authorities
Ensure timely disclosure and reporting requirements for listed companies, including stock exchange filings
Assist in corporate governance practices and implementation of best practices
Handle shareholding matters, investor relations, dividend declarations, and transfer/transmission of shares
Coordinate with auditors, regulators, legal advisors, and government authorities
Support mergers, acquisitions, restructuring, and other corporate actions
Monitor changes in corporate laws and advise management on their impact
Safeguard company records, documents, and the common seal
Ensure compliance with secretarial standards and corporate policies
Act as a bridge between management, Board, shareholders, and regulatory bodie
