Our Legal team safeguards CoinDCX's legal interests, navigating the complex regulatory landscape of the blockchain industry with expertise and foresight. As Legal Counsel - PE & M&A, General Corporate Advisory you will assist in working on due-diligences and transaction documents, portfolio company management, corporate governance, and cross-border transactions. You will act as a key business enabler and ensure business goals while ensuring robust compliance and risk management .
You need to be a HODLer of these
2-5 years of post-qualification experience with a strong focus on Private Equity, M&A, and general corporate advisory.
Prior experience at a leading law firm or investment fund is essential.
Proven track record of assisting in large, complex transactions independently.
Strong commercial acumen, negotiation, and stakeholder management skills.
Ability to work cross-functionally and thrive in a fast-paced, dynamic business environment.
You will be mining through these tasks
Lead and manage all Private Equity and M&A transactions – including drafting, reviewing, and negotiating Share Subscription Agreements, Share Purchase Agreements, Shareholders Agreements, and Joint Venture Agreements.
Advise on investment structuring, corporate reorganisations, and cross-border deals, ensuring legal and regulatory efficiency.
Provide strategic legal counsel to senior management on business expansion, capital structuring, and new business initiatives.
Conduct detailed feasibility assessments for new initiatives and product launches.
Provide ongoing advisory on corporate issues impacting day-to-day business operations.
Oversee corporate governance, ensure compliance with applicable corporate and securities laws, and manage regulatory filings.
Draft, review, and negotiate a broad range of commercial and cross-border contracts to support business operations.
Develop and implement risk management and mitigation strategies, and oversee dispute resolution when required.
Manage and coordinate external legal counsel and ensure alignment with organizational strategy and timelines.
Stay ahead of legal and regulatory developments in corporate, fintech, and emerging areas such as crypto and Web3, assessing their impact on the business.
