A leading AmLaw 100 firm is seeking a talented and motivated Associate Attorney to join its highly-regarded Corporate Transactions Practice Group in Baltimore

• JD from a top-tier law school with a strong academic record
  .

• Active Bar Admission in Maryland
  , in good standing.

• 2+ years of substantive experience in corporate and commercial transactions
  .

• Experience in debt and equity finance
  , mergers and acquisitions
  , and loan restructurings
  .

• Ability to manage deals independently and interface directly with clients.

• Strong drafting, negotiation, and organizational skills.

• Proven ability to work collaboratively in a fast-paced, team-oriented environment.

• Structure, negotiate, and manage corporate and commercial transactions, including mergers, acquisitions, equity investments, financings and loan restructuring.

• Advise clients on corporate governance matters and entity formation.

• Draft and review a wide range of transactional documents, including operating agreements, shareholder agreements, and financing documents.

• Collaborate with partners and senior associates on deal strategy and execution.

• Build and maintain strong, trusted client relationships through excellent service and attention to detail.

Competitive Compensation: Includes an annual salary range of $225,000 – $250,000
, determined by experience and market factors, along with eligibility for discretionary bonuses
