Corporate Associate – Public Companies and Capital Markets

Overview

Role Overview:
We are seeking an experienced Corporate Associate to join a premier practice focusing on public company representation and capital markets transactions. The ideal candidate will have 4 to 6 years of experience handling the complex lifecycle of public entities, from initial offerings to ongoing SEC compliance.

• Public Company Advisory:
  Manage SEC compliance, periodic reporting, disclosure matters, and exchange governance (Nasdaq/NYSE).
• Capital Markets Transactions:
  Represent issuers or investment banks in IPOs, debt/equity offerings, PIPEs, and at-the-market (ATM) offerings.
• Strategic Counseling:
  Advise clients on day-to-day corporate governance and operational issues.

• Experience:
  
  4-6 years of dedicated public company and capital markets experience.
• Sector Expertise:
  Previous experience working with Technology or Life Sciences companies is highly preferred.
• Technical
  
  Skills:
  
  Strong drafting skills and a deep understanding of federal securities laws.

• Salary Range: $310,000 - $390,000 (commensurate with year classification).
