Interim Legal Counsel, Contracts

Major, Lindsey & Africa’s corporate client is seeking Legal Counsel with a solid foundation in commercial contracts and other legal functions, capable of drafting and negotiating agreements while assisting with corporate governance, compliance, and legal research activities.

Position Title: Legal Counsel, Contracts

Company: IP and Intelligent Transportation Systems

Location: Austin, TX - Onsite

Key Responsibilities:

• Draft, review, and edit a variety of agreements such as NDAs, MSAs, SOWs, vendor agreements, amendments, and corporate legal documents.
• Contract Lifecycle Management
  - Manage the entire lifecycle of contracts, including drafting, reviewing, negotiating, executing, and maintaining a centralized contract repository.
• Collaborate with business units and legal counsel to identify and mitigate contractual risks while ensuring alignment with corporate policies.
• Support the General Counsel in preparing legal documentation including board resolutions, corporate governance materials, and regulatory filing

Qualifications:

• Juris Doctor (JD) from accredited US law school
• 4 years of experience
• Prior experience supporting General Counsel or Legal Departments helpful
• Experience in contract law, corporate governance preferred
