Our client is seeking a Commercial Counsel with strong commercial judgment, exceptional attention to detail, and a pragmatic business mindset to join our growing in-house legal team. This role will play a critical part in supporting the company’s operations and partnerships by drafting, reviewing, and negotiating a wide range of complex commercial agreements. You will work closely with internal stakeholders across business development, finance, supply chain, and project teams to ensure contracts align with strategic objectives, appropriately manage risk, and enable the company’s rapid global growth.
Key Responsibilities
- Draft, review, and negotiate a broad range of commercial agreements, including:
Power Purchase Agreements (PPAs); EPC contracts;
Operations & Maintenance (O&M) agreements;
Supply and procurement contracts; NDAs, MOUs, and service agreements. - Provide practical legal guidance to internal teams across development, operations, procurement, and finance.
- Support the full contract lifecycle, including contract management systems and compliance tracking.
- Coordinate with external counsel as required.
- Ensure compliance with applicable federal, state, and local energy laws and regulations.
- Monitor and interpret changes in legislation and regulatory frameworks impacting the business.
- Support internal audits, risk assessments, and contractual obligation reviews.
- Perform additional duties as needed to support company objectives.
Qualifications
- Juris Doctor (JD) degree and active admission to at least one U.S. state bar in good standing.
- 5-7 years of relevant legal experience, ideally combining law firm and in-house exposure.
- Strong experience drafting and negotiating complex commercial agreements.
- Excellent communication skills, with the ability to translate legal concepts for non-legal stakeholders.
- Commercially minded with strong judgment and attention to detail.
- Ability to manage multiple priorities in a fast-paced, high-growth environment.
- Experience with in energy, infrastructure, or technology sectors strongly preferred.
- Exposure to international contracting and cross-border transactions is a plus.
