Description

Provides support to the General Counsel by coordinating the commercial contracting process and corporate governance matters. Utilizes a proactive and collaborative approach to ensure efficient and accurate contract negotiation, execution, and management. Carries out all duties while maintaining compliance and confidentiality and promoting the mission and philosophy of the organization.

Essential Functions
  • Reviews, analyzes, and drafts a variety of commercial contracts, including, but not limited to, purchasing, service, vendor, non‑disclosure, and business associate agreements.
  • Assists in contract negotiations with internal and external stakeholders.
  • Tracks and manages contract approvals and execution workflows.
  • Maintains and updates contracting checklists/playbooks.
  • Manages electronic contract repository and ensures accurate and up‑to‑date records.
  • Stays informed of relevant legal and industry developments.
  • Maintains and updates corporate minutes and resolutions.
  • Assists with the preparation and maintenance of other corporate documents, including bylaws, charters, and filings.
  • Assists with legal research and document preparation.
  • Maintains accurate and confidential records.
  • Adheres to all company policies, including but not limited to OSHA, HIPAA, compliance and Code of Conduct.
  • Regular and dependable attendance.
  • Follows the core competencies set forth by the Company, which are available for review on ARC SharePoint.
Other Duties and Responsibilities
  • Attends meetings/training as required.
  • Performs other duties as assigned.
Qualifications

Education and Experience
  • Required:

    High school diploma or GED. Paralegal certificate or Bachelor’s degree. Four (4) or more years of experience in either a paralegal or contract management role, with a strong focus on contracts.
  • Preferred:
    Experience with corporate governance matters. Health care industry experience. Experience with contract management software (e.g., Lexion, Contract Works, Icertis).
Knowledge, Skills, and Abilities
  • Knowledge of contract law and familiarity with business, finance, and accounting terminology.
  • Strong analytical, organizational, and time‑management skills.
  • Excellent written and verbal communication skills; able to communicate clearly with both internal and external stakeholders.
  • Excellent computer and keyboarding skills, including proficiency in Microsoft Word, Excel, PowerPoint.
  • Detail‑oriented with a high degree of accuracy.
  • Strong work ethic and ability to meet deadlines.
  • Ability to work independently and as part of a team.
  • Ability to maintain confidentiality and handle sensitive information.
  • Ability to engage others, listen and adapt response to meet others’ needs.
  • Ability to align own actions with those of other team members committed to common goals.
  • Ability to manage competing priorities.
  • Ability to perform job duties in a professional manner at all times.
  • Ability to understand, recall, and communicate factual information.

If applicable, required to maintain a paralegal certificate during employment.

Work Schedule

Monday through Friday - 8:00am-5:00pm
