Overview
The Deputy General Counsel (DGC) will be a member of the Legal leadership team, assisting the Chief Legal Officer in all aspects of legal affairs. The DGC will be primarily responsible for hospital management contracts, the contract management system and regulatory compliance regarding vendor relationships. The DGC will be actively engaged in contract negotiations, frequently taking the lead on behalf of the organization from contract creation to execution.
This role involves significant interaction with senior management, providing advice on a variety of legal issues, managing outside counsel, and leading internal teams.
- Provide counsel and advice to cross-functional stakeholders and senior leaders to set the company’s legal strategy on a broad range of matters related to new initiatives and products and other corporate, transactional, and regulatory matters.
- Maintain a deep understanding of the company’s business and industry and provide leadership in strategic business decisions from a legal perspective.
- Draft, review, and negotiate major and critical contracts, including customer agreements, vendor contracts, partnership agreements, and employment contracts.
- Provide legal support for mergers, acquisitions, and other strategic transactions through due diligence review and advising on legal aspects of transactions.
- Develop and lead corporate legal strategy to promote and protect the company’s matters.
- Implement effective risk management techniques and offer proactive advice on possible legal issues.
- Represent the company in legal proceedings.
- Oversee compliance with applicable laws and regulations and conduct legal research and analysis to stay current on changes that may impact the company and its subsidiaries.
- Manage federal and state regulatory strategy and compliance and develop state-specific regulatory guidance.
- Partner with the HR team on employment practices, employment handbook updates, compliance training, and new state expansions.
- Oversee the improvement of legal department processes to increase efficiency and mitigate legal risks.
- Hire, develop, and manage a team of high-performing individuals.
- Review and advise on a range of agreements, including corporate, employment, and commercial (buy and sell side) agreements.
- Serves in the Chief Legal Officer’s absence in supervising, planning, directing, and organizing the legal staff and their work.
- Assist in managing all operations within the legal department.
- Assist in mentoring, management and development of legal staff.
- Assists with special projects and performs other job-related duties as assigned.
- Self-motivated, organized, and detailed-oriented individual.
- 10-14 years of experience, preferably at least four years in an in-house role and significant experience in complex contracting.
- Experience managing complex corporate, transactional, and regulatory legal matters.
- Proven ability to provide thought partnership and leadership in developing innovative legal and risk management strategies.
- Ability to tailor advice that’s well-calibrated to the most junior and senior levels of the organization.
- Strong leadership and management skills, with a track record of building and leading a team of legal professionals.
- Exceptional negotiation skills with experience in managing complex deals and agreements.
- Proven experience in corporate governance, risk management, and compliance.
- Knowledge of statutes, rules, and regulations pertaining to healthcare, particularly those governing providers of rehabilitation and physical therapy services.
- Excellent communication and interpersonal skills, with the ability to interface effectively with all levels of the organization and external parties.
- JD from an accredited law school.
- Bar membership in good standing.
- 10-14 years of experience, preferably at least four years in an in-house role.
