Clark Hill Law invites applications for the ESOP Compliance Attorney position, located flexibly across selected offices.

• Expertise in employee stock ownership plans (ESOPs)
• Over 8 years of practice in employee benefit law
• Advising plan sponsors on ERISA, IRS requirements for KSOPs and ESOPs
• Negotiating and drafting executive employment agreements and incentive plans
• Handling ESOP issues in corporate mergers and acquisitions
• Reviewing M&A agreements for ESOP compliance
• Advising on Internal Revenue Code Sections 280G and 409A
• Strong work ethic, attention to detail, initiative, motivation
• Team-oriented and collaborative
• Strong academic credentials

Salary range: $350,000 - $475,000 annually, with eligibility for discretionary annual bonuses.
