Legal Counsel - Media & Commercial

Overview

• Prepare contracts, agreements, and memoranda of understanding related to the Company or any of its subsidiaries, in coordination with the Legal Evaluation/Review team and the relevant departments, and with external parties.
• Review the purpose of each contract and provide observations related to drafting, clarify the obligations of all contracting parties, and ensure proper implementation of post-contractual obligations.
• Review draft contracts and agreements, provide legal opinions, and record observations to ensure the protection of the rights of the Company and its subsidiaries.
• Review draft contracts received from suppliers to ensure that no clause conflicts with the requirements, policies, or applicable legislation of the Company or with governmental laws and regulations.
• Review contractual documents to ensure that all agreed terms and conditions are included, direct concerned parties accordingly, and respond to inquiries when necessary.
• Verify the contractual financial value, payment mechanisms, delivery and receipt terms, and contractual obligations to ensure alignment with the Company’s requirements, and report any discrepancies.
• Analyze contract terms and provisions, review and identify any penalty clauses binding on the other party, to safeguard the rights of the Company and avoid the application of penalties against it.
• Ensure the accuracy and validity of the contract upon signature, confirming that there are no deletions, alterations, or corrections after signing.
• Assess potential legal risks and prepare plans to manage and mitigate them.

• Bachelor s degree or equivalent experience
• Experience in legal assistance
• Familiarity with law and legal procedures.
